RR Donnelly To Be Sold To Owner of LSC Communications

 RR Donnelley & Sons (RRD) is set to be acquired by  Atlas Holdings and go private in an all-cash deal worth  over $2 billion.The price represents a premium of approximately 29.1% over Donnelleys closing price on 2 November. LSC Communications which was spun off from Donnelly in 2016  was acquired by Atlas Holdings last year.  Chatham Asset Management a private equity was trying to making a bid for   Donnelly. A dissident share holder , owns approximately 14.9% of the outstanding common stock and is the largest bondholder of  RR Donnelley & Sons .

 Donnelly  said that under the terms of the merger agreement it may solicit additional acquisition proposals from third parties for a period of 25 calendar days from the signing of the merger agreement. Upon completion of the transaction, Donnelley's shares will no longer trade on The New York Stock Exchange and will become a private company. RR Donnelly is Canada's fifth largest printer according to Graphic Monthly's listing  of Canada's top  printers with sales around $250 million in Canada . RR Donnelly took over Moore Business Forms and all of their plants in Canada . They also own Annan & Bird in Mississauga.
