In a two month bidding war over its ownership, RR Donnelley (RRD) is now will  be acquired by its largest investor, Chatham Asset Management, for $10.85 per share in cash. RR Donnelley announced on December 14th that it has entered into a final merger deal to be acquired by Chatham Asset Management, a private investment firm, in an all-cash transaction with a total value of $2.3 billion and total capital value of approximately $897 million.

RRD’s previously announced merger agreement with  Atlas Holdings, dated 3 November 2021 and amended on 9 December – at which point Atlas had agreed to acquire RRD for $10.35 per share in cash – has now been terminated. The Chatham transaction is expected to close in the first half of 2022, subject to customary closing conditions, including the approval of RRD stockholders and receipt of regulatory approvals. RR Donnelly is Canada's fifth largest printer according to Graphic Monthly's listing  of Canada's top  printers with sales around $250 million in Canada . RR Donnelly took over Moore Business Forms and all Canadian plants .
