SUSSEX, WIS. AND MONTRÉAL—Quad/Graphics and World Color Press have filed a statement with the U.S. Securities and Exchange Commission outlining details of their proposed merger. The document (Form S-4) was approved by the SEC on May 27.

World Color Press Inc. will hold a special meeting of shareholders on June 25 to approve the transaction between the two companies. On May 17, World Color Press shareholders were mailed a proxy/circular prospectus of the deal.

The transaction remains subject to customary closing conditions, including approval from the Québec Superior Court. The court hearing will take place on June 28. If all necessary approvals and conditions go through it is expected the transaction will be completed in early July.
